Terms & Conditions
The terms governing use of this website, and the general basis on which Lowell Resolve quotes for and supplies goods to business customers.
01About these terms
These terms cover two things: your use of this website, and the general basis on which [Registered company name] trading as Lowell Resolve quotes for and supplies goods to business customers.
We are a company registered in England and Wales with company number [Company number]. Our registered office is at [Registered address line 1], [Registered address line 2], [Town or city], [Postcode], United Kingdom. Our VAT registration number is [VAT registration number].
By using this website you accept these terms. If you do not accept them, please do not use the site.
02Business customers only
Lowell Resolve supplies goods to businesses buying in commercial quantities. We do not sell to consumers, and nothing on this website is an offer to supply goods to a consumer.
Because supply is business to business, consumer distance-selling and cancellation rights do not apply. By submitting an enquiry, quotation request or trade account application you confirm that you are acting in the course of a business.
03Use of this website
You may use this website for lawful business purposes. You must not:
- Use the site in any way that breaches applicable law or regulation.
- Attempt to gain unauthorised access to the site, its server or any connected system.
- Introduce malicious code, or attempt to disrupt or overload the site or its infrastructure.
- Extract, scrape or systematically copy content from the site for commercial reuse without our written permission.
We may suspend or withdraw the site, or any part of it, without notice. We do not guarantee that the site will always be available or uninterrupted.
04Information on this website
Product categories, formats and descriptions on this website are indicative. They describe the areas in which we supply, and are not an offer to sell, a guarantee of availability, or a representation that any particular line is in stock.
No prices are published on this website. Pricing is commercial and is provided by written quotation against a stated requirement.
We take reasonable care to keep the content of this site accurate and current, but we do not warrant that it is complete or error free.
05Quotations and orders
A quotation is an invitation to place an order, not an offer capable of immediate acceptance. Unless stated otherwise on the quotation itself:
- Quotations are valid for the period stated on them, and are subject to availability at the time an order is placed.
- Quoted prices apply to the quantities and formats stated. Changing the quantity or format may change the price.
- Any minimum order requirement and lead time applicable to a line is stated on the quotation.
- A contract is formed only when we acknowledge and accept your order in writing.
Unless otherwise agreed in writing, prices are exclusive of VAT and of delivery charges, which are confirmed separately.
06Trade accounts
Submitting a trade account application does not create an account. We assess applications and confirm in writing whether an account has been opened, together with the commercial terms that apply to it.
We may decline an application, or suspend or close an account, at our discretion. Account terms including payment terms, credit arrangements and ordering procedures are set out in the account documentation issued to you: [Trade account terms reference].
07Supply of goods
Goods are supplied on the conditions of sale issued with your quotation or account documentation. Those conditions take precedence over this page in the event of any inconsistency, and should cover at least:
- Delivery, collection, risk and the passing of title.
- Inspection of goods, shortages and damage notification periods.
- Returns, rejections and any restocking arrangements.
- Payment terms, late payment and set-off.
- Warranties, product compliance and limitation of liability.
The full conditions of sale must be completed and attached before these terms are published: [Conditions of sale document].
08Intellectual property
All content on this website, including text, layout, graphics and imagery, is owned by or licensed to us and is protected by intellectual property law. You may view and print pages for your own internal business use. You may not reproduce, republish or exploit any part of the site commercially without our written permission.
09Liability
Nothing in these terms excludes or limits our liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded or limited.
Subject to that, we exclude all implied conditions, warranties and other terms to the fullest extent permitted by law, and we are not liable for any loss of profit, loss of business, business interruption or loss of anticipated savings arising from your use of this website.
Liability in respect of goods supplied is governed by the conditions of sale applicable to that supply.
10General
We may amend these terms from time to time. The version published on this page applies each time you use the site, and was last updated on [Date last updated].
These terms, their subject matter and their formation are governed by the law of England and Wales, and both parties submit to the exclusive jurisdiction of the courts of England and Wales.
Questions about these terms can be sent to [Email address], or see our contact page.
